Terms of Use & Disclaimer

1. Who we are

TakeoffHQ is owned and operated by Vector Visual (WA) Pty Ltd ("we", "us", "our"). By creating an account, ticking the agreement box at signup, or using TakeoffHQ, you agree to these terms.

2. The nature of the product

TakeoffHQ is offered at a discounted price because it is under continuous, aggressive development. That means:

• Features may be added, changed, or removed at any time, without notice.
• The service may be interrupted, degraded, or unavailable at any time.
• Bugs, errors, and data issues can and will occur.
• We may suspend or discontinue the service, in whole or in part, at any time.

The discount reflects this trade-off. You get the benefit of rapid development; you also carry the risk that comes with it.

3. No warranties

TakeoffHQ and everything supplied through it (including software, measurements, quantities, rates, quotes, exports, and purchased takeoffs) is provided "as is" and "as available". To the maximum extent permitted by law, we make no warranties, representations, or guarantees of any kind — express or implied — including as to accuracy, reliability, completeness, availability, fitness for a particular purpose, merchantability, or non-infringement.

4. Your data — your responsibility

We do not guarantee the security, integrity, availability, or retention of your data. Data may be lost, corrupted, or become inaccessible — through outages, development changes, third-party provider failures, security incidents, or otherwise.

It is your responsibility to maintain your own copies of anything you need. TakeoffHQ provides CSV export — use it. In particular, regularly export your:

• Markups
• Quotes
• Rates
• Takeoff data

If data is lost and you have not exported it, that loss is yours. We take reasonable steps to look after data, but you must not rely on TakeoffHQ as your only copy of anything.

5. Purchased takeoffs

Where you purchase a takeoff through TakeoffHQ:

• You own the takeoff once purchased.
• We do not guarantee its accuracy. Quantities, measurements, scopes, items, and classifications may contain errors or omissions.
• It is your responsibility to check the accuracy of the takeoff data before relying on it for any purpose, including pricing, tendering, procurement, or construction.
• Document control is your responsibility. You must verify that the takeoff corresponds to the current drawings, revisions, addenda, and specifications for your project. We do not warrant that a takeoff reflects the latest documentation.

A purchased takeoff is a starting point, not a substitute for your own estimating checks and professional judgment. Any decision you make based on it — and any loss flowing from that decision — is yours.

6. Limitation of liability

To the maximum extent permitted by law:

• We are not liable for any loss or damage whatsoever arising from or in connection with TakeoffHQ or any takeoff, data, or output supplied through it.
• We are not liable for consequential, indirect, incidental, or special loss of any kind — including loss of profit, loss of revenue, loss of business or opportunity, loss of tenders or contracts, loss of data, cost of rework, delay costs, or wasted expenditure — even if we were advised of the possibility of that loss.
• Our total aggregate liability, if any, is limited to the amount you paid us in the 12 months before the event giving rise to the claim (or, for a purchased takeoff, the amount you paid for that takeoff).

7. Australian Consumer Law

Nothing in these terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law or any other law that cannot lawfully be excluded. Where our liability for breach of a non-excludable guarantee can be limited, it is limited (at our option) to resupplying the service, or paying the cost of having it resupplied.

8. Your account and acceptable use

• You are responsible for your account credentials and everything done under your account.
• You must only upload content you have the right to use (including drawings and project documents).
• You must not misuse the service, attempt to access other users' data, or resell access without our agreement.
• We may suspend or terminate accounts that breach these terms.

9. Pricing and changes to these terms

We may change pricing, plans, and these terms from time to time. Updated terms take effect when posted to this page; continued use of TakeoffHQ after that is acceptance of the updated terms.

10. Governing law

These terms are governed by the laws of Western Australia, and you submit to the non-exclusive jurisdiction of the courts of Western Australia.
